Axel Johnson AB become new principal owner of Mekonomen AB (publ)

Axel Johnson is becoming the new principal owner in Mekonomen by acquiring shares corresponding to 29 percent of the capital and votes from the Fraim and Möller families, after restamping all A-shares to B-shares. In connection with the acquisition of the shares, Axel Johnson AB has also agreed to an option that gives Axel Johnson AB the right to further acquire up to 9.9 percent of the total number of shares.

Vinge acted as advisor to the sellers Fraim and Möller. Representatives from Vinge included Carl Gustaf De Geer, Malin Ohlin Åkermark and Daniel Rosvall.

Vinge has advised Eleda in connection with the acquisition of Nordic Infrastructure Group AS (“Qben Rail”)

Qben Infra AB and ININ Group AS, which is majority owned by Qben Infra AB, have entered into a share purchase agreement with Eleda through Eleda’s subsidiary Eleda Norge AS (“Eleda”), to divest the Qben Rail platform to Eleda for a total enterprise value of up to NOK 850 million, including an earn out of up to NOK 65 million. Completion of the transaction is subject to customary closing conditions, including approval from the Swedish Inspectorate of Strategic Products and the Norwegian Competition Authority.
