XOR Group AB - sale and transfer of shares to Visma Software Holding

Visma Software Holding AB, the Scandinavian software provider, has acquired XOR Group AB, the Swedish software company for approximately EUR 12.87m. The consideration consists of SEK 48.5m (EUR 5.28) and 800,000 shares in Visma ASA, with a closing share price of NOK 84 (EUR 9.492) on 18 February 2004. Visma Software is part of Visma ASA, the listed Norwegian holding company.
