Vinge has, together with Kirkland & Ellis, advised Blue Wolf Capital Partners LLC (“Blue Wolf”), a middle market private equity firm specializing in the healthcare and industrial sectors, in connection with the acquisition of seven manufacturing and development facilities in Sweden, France, and Spain, from Recipharm Group, a contract development and manufacturing organization (“CDMO”) headquartered in Stockholm.
Vinge has advised the Swedrup family in connection with the sale of Märta Måås-Fjetterström, Verkstaden för svenska mattor och vävnader Aktiebolag. The company manufactures rugs and tapestries in Båstad based on designs by both Märta Måås-Fjetterström herself and her successors, such as Barbro Nilsson, Marianne Richter, Ann-Mari Forsberg and others. The buyer is the Hult family.
Vinge has advised Ingrid Capacity in connection with the entering into a strategic partnership with Locus Energy, a leading Nordic energy infrastructure company owned by SEB Asset Management's fund SEB Nordic Energy.
Vinge has advised Fidelio Capital (“Fidelio”) and the other shareholders of Odevo Group (“Odevo”) in connection with the divestment of a minority shareholding to funds controlled by CVC Capital Partners (“CVC”). Fidelio, the existing management team and other minority shareholders of Odevo will retain a majority holding in the company.
Vinge has advised Swedish evroc, which is planning to construct several large data centres in Europe and become a leading supplier of cloud services, to raise approximately SEK 500 million. The financing round participants include, among others, the previous investors EQT Ventures and Norrsken VC as well as the new investor Blisce, a French private equity firm.
Vinge has advised IK Partners and the other owners in connection with the divestment of Carspect Group Holding AB to TÜV SÜD Aktiengesellschaft. Carspect is a leading provider of vehicle inspections in Sweden, Estonia and Latvia, with a total of approximately 150 stations and over 500 employees.
Vinge has advised Embracer Group AB (publ) (“Embracer”) in connection with the entry into of a SEK 500 million financing agreement with Aktiebolaget Svensk Exportkredit (publ). Embracer is a global group of entrepreneurial businesses in the gaming and entertainment industry and the new loan facility shall apply towards financing of general corporate purposes of the group.
Vinge advises Bridgepoint Development Capital III and Bridgepoint Europe VI (”Bridgepoint”), founders as well as the other shareholders in connection with Cinven, an international private equity firm, acquiring a significant stake in Vitamin Well Group (“Vitamin Well”) and thereby becoming the new lead investor, while Bridgepoint, founders and the other shareholders will retain significant minority stakes following the transaction.
Vinge has advised Embracer Group in connection with a EUR 600 million multicurrency revolving facility agreement entered into with BNP Paribas, Citibank Europe, DNB, JP Morgan, Nordea, SEB and Swedbank.
Vinge has advised Samhällsbyggnadsbolaget i Norden AB (SBB) and Sveafastigheter AB in connection with an exchange offer directed to investors in SBB’s outstanding bonds, whereby investors exchanged senior and hybrid bonds in SBB for new senior bonds issued in Sveafastigheter AB. The existing bonds were partly issued under SBB’s EMTN programme, partly on a standalone basis. Following the transaction, the investors have been slotted in under Swedish bond terms on a standalone basis.
Vinge advises Polar Structure AB, a leading developer and owner of infrastructure, in connection with its issuance of EUR 81 million senior secured notes through a majority owned subsidiary. The proceeds will be used to finance the construction of a railway outside Boden, which will connect the existing iron ore line (Sw. Malmbanan) with H2 Green Steel’s new facility for large-scale production of green steel at Boden Industrial Park.
KKR and TA Associates, which are current minority shareholders in Söderberg & Partners, have undertaken to provide Söderberg & Partners with a total of approximately SEK 3 billion through new issues of shares. Vinge is advising KKR.
Vinge advises Bergs Timber AB (publ) and Bitus AB in connection with the divestment of the Fågelfors pellets business to J. Rettenmeier & Söhne. The Fågelfors pellets factory is based in Fågelfors in Högsby. The acquisition is subject to customary regulatory approvals.
